Dental Innovations' (DI) undertaking to members:

DI facilitates a National Network of Dentists who own and operate dental clinics and provides business services to Dental Practices. DI negotiates competitive pricing for the supply of dental goods and other dental orientated services to those Dental Practices.

Members' undertaking to DI:

As a Dental Innovations member I understand the obligation of members to: Support each other to gain collective mutual advantages that arise through members focused purchasing through the DI preferred suppliers. Utilise the On-Line Ordering facility to access DI preferred pricing. I understand that I am able to exit from my membership with 90-days written notice to DI.

Members' undertaking to DI's preferred suppliers:

Members of Dental Innovations are encouraged to support all service providers who strongly support the Dental Innovations National Dentist Commercial Network. Dentsply Sirona has been a long standing supporter of Dental Innovations since its inception. We ask members to be prepared to trial Dentsply Sirona products where there is a demonstrated clinical and/or price advantage and make time available for Dentsply Sirona Territory Managers to educate and demonstrate the attributes of the Dentsply Sirona range of products. The DI member's collective support is aimed at continuing to maximise the considerable and sustained discounts extended to Dental Innovations members by Dentsply Sirona in recognition of volume purchases made by the National Network of Members. Dentsply Sirona will provide all new members with a Welcome Basket of Dentsply Sirona product, as a no cost trial to sample a range of their products We strongly encourage all members to work together and wherever possible order from the DI preferred Suppliers for the common benefit. Members always retain their individual choice and are not obligated to use products trialed and considered to be unsuitable for ongoing use within their practice.

To DENTAL INNOVATIONS PTY LTD

I/We understand that it is the intention of Dental Innovations Pty Ltd to optimise the purchasing and negotiation power of all member dentists by establishing a National Dental Buying Group. In the process of establishing the national buying group, a database will be established to record the range and volume of products and services collectively purchased by the national network. As part of the process of negotiating better purchase or supply terms and conditions, it may be necessary for Dental Innovations Pty Ltd to provide and exchange members collective purchase information with suppliers of goods and services. The information supplied, however, will be aggregated data for specific States, types of Dental Practice or geographic locations, and will not identify the members data individually or any individual members' stock or Practice details. I/We authorise Dental Innovations Pty Ltd to supply information and request information regarding my/our purchases from appointed suppliers to the Dental Innovations National Network. l understand and agree to the forementioned expectations and give my consent in regards to the Privacy Information Act.

1. My signature at the beginning of this document signifies that I have elected to participate in the Dental Innovations Chat Line, and I understand that all opinions, comments, observations made and information provided by Dental Innovations members participating in the Chat Line have been posted by those responsible for them with a view to exploring all aspects of the subject matter concerned in a private and confidential environment specifically created to allow full and frank disclosure between Dental Innovations members of products, treatments, suppliers, patients, regulatory bodies and generally such matters as are of interest to dentists and those associated with the dental profession; and
2. The products, treatments, suppliers, patients, regulatory bodies and matters of general interest to dentists and those associated with the dental profession being discussed in the Chat Line environment are and will remain Confidential between Dental Innovations members and I acknowledge that any information posted is posted on the basis that it reflects the personal opinion of those participating in the Chat Line and has been posted on the basis of my undertaking and that of all those participating in the Dental Innovations Chat Line that their comments will not be used in any manner whatsoever outside the Chat Line; and
3. The disclosure of information relating to products, treatments, suppliers, patients, regulatory bodies and matters of general interest to dentists and those associated with the dental profession in no way authorises me or the employees of the dental practice with which I am associated or its subsidiaries, officers and/or employees or any related entities or their subsidiaries, officers and/or employees to use any or all of the aforesaid comments made with respect to products, treatments, suppliers, patients, regulatory bodies and matters of general interest to dentists and those associated with the dental profession projects or any part thereof, in any other way than for discussions within the privacy and Confidentiality of the Dental Innovations Chat Line; and I understand that the opinions, comments, observations made and information provided with respect to products, treatments, suppliers, patients, regulatory bodies and matters of general interest to dentists and those associated with the dental profession are made on the basis that they are highly confidential and, as such, that both I and the dental practice with which I am associated or its subsidiaries, officers and/ or employees or any related entities or their subsidiaries, officers and/or employees will respect such confidence and will not disclose details in whole or part of any or all of the opinions, comments, observations made and information provided with respect to those products, treatments, suppliers, patients, regulatory bodies and matters of general interest to dentists and those associated with the dental profession to any person without the express consent of individual who has stated that opinion or made that comment or observation or provided that information

Dental Innovations has developed an Internet based facility for use by current Dental Innovations members to order dental consumable stock and other items for use in their practices.

MEMBERS UNDERSTAND THAT:

1. Access to use the facility is provided at the sole discretion of Dental Innovations and may be cancelled or withdrawn at the sole discretion of Dental Innovations. If a member resigns or membership is terminated by Dental Innovations access to Online Ordering will automatically cease.
2. In providing the facility for use by members Dental Innovations does NOT in any way or capacity act as an agent for any of the supply companies who list their products and prices on the Internet site. Additionally, Dental Innovations does not warrant the pricing or the performance or quality of products listed or endorse their use.
3. The Dental Innovations Online Ordering facility is a service provided to Dental Innovations members on that strict basis that use of the facility and dealings with the companies who list products on the Internet site is at the sole risk and discretion of the user.
4. Due to the service being Internet based and reliant on the availability of Internet services provided by third parties, Dental Innovations can not and does not guarantee that the service will be available at all times or that orders placed can be transmitted without loss or delay.
5. For the benefit of the collective membership of Dental Innovations, all members who are given access to the service by Dental Innovations are bound by confidentiality not to disclose any information displayed on the Online Ordering to any Third Party, supply companies or representatives of supply companies. Any confirmed breach of this confidentiality undertaking will result in withdrawal of the authorisation to use the Online Ordering facility. Additionally, members are responsible for ensuring that staff do not pass on access passwords or information regarding suppliers or prices to any other Third Party.
6. Members using the Online Ordering facility acknowledge that they are placing orders with their selected supply companies ? not with Dental Innovations ? and that all dealings arising from the placement of an order are to be direct with the relevant supply company. hereby confirm that I have read, understood and accept the above Terms and Conditions, and that I am entering into a Confidentiality Agreement not to disclose information regarding supply companies, products or pricing listed on the Dental Innovations Online Ordering facility.
